Constitution of Five Roads Forum |
1.0 TITLE
1.1 The name of the Association shall be FIVE ROADS FORUM hereinafter called The "Association".
2.0 AIMS
2.1 To represent the interests of the residents.
2.2 To make the Forum Area a better place to live by improving its appearance.
2.3 To promote actively the interests of pedestrians and children by ensuring that cars travel at a safe speed in the Forum Area.
2.4 To promote community life by organising events and enabling neighbours to get to know each other.
2.5 To establish and maintain a Homezone in the Forum area.
3.0 MEMBERSHIP
3.1 Membership shall be open to any individual from the UK over the age of 18, and to anyone under the age of 18 with parental consent.
3.2 The AGM may elect honorary members who shall be entitled to all privileges of full members. The Association may elect a Patron, with a non-voting capacity, which would be invited to the AGM.
4.0 OFFICERS
4.1 The Association shall have a Chairman, Vice Chairman, (or Joint-Chair) Secretary and Treasurer to be elected annually by the AGM.
4.2 The elected officers may hold office for a maximum of term of three consecutive years, at the expiration of which they shall not be eligible for re-election for at least one year.
5.0 ANNUAL GENERAL MEETING OF MEMBERSHIP
5.1 There shall be an AGM held in January of each year for which at least 14 days proper notice shall be provided to all members together with an agenda.
5.2 The chairman shall preside at the AGM. In his absence the members shall elect a chairman for that meeting.
5.3 A quorum shall be the chairman plus two officers and five members of the association.
5.4 The business of the AGM shall include reports from: Chairman, Secretary, Treasurer and shall also include election of chair, secretary, treasurer and any other officer, Nominations for Officers may be submitted in writing or taken from the floor, subject to the nominees agreement. Election of bankers and Auditor who shall be independent of the association. Any other business, which may be requested in writing by any member of the association, provided it reaches the chairman at least two days before the AGM.
5.5 Reporting Officers unable to attend should submit a written report to the chairman prior to the meeting.
5.6 Each member of the Association present shall have one vote in connection with each motion put before the AGM. A resolution shall require a simple majority. In the event of equal votes the Chairman shall have the casting vote. All votes shall be taken by a show of hands unless the meeting resolves otherwise.
5.7 The Association may affiliate with other organisations upon agreement with the AGM.
6.0 COMMITTEE
6.1 The Committee shall consist of the Chairman, Secretary or Treasurer, five street representatives plus one from Broughton Court and Hastings House elected annually at the AGM.
6.2 The Committee may appoint sub committees as and when necessary. All such committees shall report to the Committee who shall devise their rules for working.
6.3 Quorum is five committee members.
7.0 FINANCE
7.1 The Association may receive donations or raise monies, which shall only be applied to further the objective of the association.
7.2 The Association accounts shall run from 1 Jan 2000. The Treasurer shall make the appointment of bankers and auditors on the decision of the AGM.
7.3 All monies shall be administered by the Treasurer who will pay incoming monies into a bank account in the name of the association and shall arrange, in consultation with the Committee, for the proper investment of any available balance. The Treasurer shall account to the Committee for all monies.
7.6 Any withdrawals from such bank shall be against the signatures of any one of the officers and any one of the committee members.
7.7 Travel expenses shall not generally be available for Committee members. Advance notification of other expenses likely to be incurred by members, in connection with the work of the committees, shall be made to the treasurer for approval, which shall recompense the approved amounts to members upon their application with receipts.
7.8 The Treasurer shall prepare financial forecasts based on assessment of the Association income and expenditure to be presented to the AGM
8.0 ALTERATION OF CONSTITUTION
8.1 A motion passed at the annual general meeting may amend this constitution.
